This Agreement sets forth the Terms and Conditions (“Agreement”) governing the use of services provided by Overlead LLC, trading as Akountify (“we”, “us”, “our”). By accessing, using, purchasing, reselling, or otherwise engaging with Overlead services, the party (“Client”, “Reseller”, “Affiliate”, “Partner”) agrees to be legally bound by the terms outlined herein.

1. Definitions

Akountify refers to a platform facilitating matching with independent LinkedIn outreach agents (“Outreach Agents”) for outbound B2B sales and marketing.

Client means any person, company, or legal entity subscribing to or utilizing Akountify services.

Reseller/Affiliate means any individual or entity authorised to resell or promote Akountify services.

Outreach Agent (Profile Owner) refers to a real human user who has consented to limited managed usage (by himself) of their social media accounts via Akountify's service.

2. Services Provided

Akountify offers scaling via third-party social accounts operated by real individuals under controlled and consented usage. Each Outreach Agent is contractually engaged and retains full legal ownership of their social media account.

We provide:

• Scaling via real-owned and ID-recoverable social media accounts for manual outreach

• Setup, warm-up, and basic campaign guidance

• Profile matching per product tier purchased

We do not:

• Impersonate individuals or allow fake profiles

• Guarantee any specific outcomes such as meetings, sales, or replies

• Permit unauthorized automation or scraping tools

3. Platform Compliance and Automation Disclaimer

Clients, resellers, and affiliates are strictly prohibited from:

• Using any unauthorized automation software, bots, scrapers, or browser plugins

• Accessing or altering Outreach Agent login credentials, IP settings, or account environment

• Abusing the daily activity limits expressed during the onboarding and also highlighted on our website's FAQs.

Akountify disclaims all liability for any enforcement actions taken by third parties. Use of automation or non-compliant tools is entirely at the client’s risk and may result in service suspension or account restriction without refund.

4. Profile Restrictions – Recovery and Replacement Policy

In the event of an account restriction, Akountify will initiate standard recovery procedures, which typically take between 7 to 14 business days. No replacement shall be issued during the current billing cycle where the cause of restriction is attributable to automation or improper use. If the profile remains restricted into the next billing cycle, Akountify may, at its sole discretion, match you with another Outreach Agent. 

Outreach Agent profiles are real human accounts, contractually engaged under Akountify. Any misuse that damages or compromises these accounts constitutes a serious breach of this Agreement and will be treated as deliberate damage to property, directly harming both Akountify’s business operations and the Outreach Agent’s personal account.

Misuse includes, but is not limited to:

• Changing or altering profile photos without authorisation

• Editing personal information or login settings

• Actions resulting in account restriction or permanent blocking

Such misuse causes measurable harm to both Akountify and the Outreach Agent and will be treated as a material breach of this Agreement.

5. Credits and Refunds

Credits may be offered:

• Only where downtime exceeds 10 business days (starting from Day 11)

• Only where the client has not used unauthorized tools

• Only where the issue has been reported within 48 hours of occurrence

Credits are strictly non-cash, non-transferable, and must be used within the current or following billing cycle. Refunds shall only be issued in the following circumstances:​

6. Reseller & Affiliate Responsibilities

Resellers and affiliates must:

• Clearly communicate Akountify’s Terms & Conditions to all end users

• Avoid misrepresenting service capabilities or making performance guarantees

• Accept full liability for client-side breaches, misuse, or overpromising

Akountify assumes no responsibility for internal billing arrangements or expectations set by resellers. Repeated violations may result in termination of reseller privileges.

7. Billing and Cancellation

All services are billed in advance and automatically renew on a 30-day cycle. Written notice of cancellation must be sent to support@akountify.ai no less than 30 days prior to the intended termination date. Charges will continue throughout the notice period.

Paused or restricted accounts during any billing cycle do not constitute grounds for refund. Clients may be required to wait until the following billing cycle for profile replacements, depending on the cause of the issue.

8. Chargebacks and Dispute Policy

Chargebacks are strictly prohibited. By engaging with Akountify's services, the client agrees:

• To raise any dispute internally in good faith

• Not to initiate a chargeback without written consent from Akountify

• That any unapproved chargeback will be treated as fraudulent and in breach of contract

Akountify reserves the right to:

• Suspend all services immediately

• Initiate legal and collection action

• Apply a minimum £500 administration fee per unauthorized chargeback

9. Limitation of Liability

To the maximum extent permitted by law:

• Akountify shall not be liable for third party's actions, policy enforcement, or technical changes

• Akountify shall not be liable for indirect, incidental, or consequential damages

• The maximum liability of Akountify shall be limited to the most recent 30-day subscription payment received from the client

10. Termination

Akountify reserves the right to suspend or terminate access to services, without refund, in cases including but not limited to:

• Use of unauthorised automation

• Abusive, defamatory, or disruptive behaviour

• Filing of baseless disputes or chargebacks

• Repeated violation of this Agreement

11. Right to Update Terms

We reserve the right to amend, update, or revise these Terms & Conditions at any time without prior notice. All updates will be posted to our website and become binding upon publication. Continued use of Akountify's services constitutes acceptance of all updated terms.

12. Legal Jurisdiction

This Agreement shall be governed and construed in accordance with the laws of Delaware, United States. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Delaware.

14. Binding Acceptance

By purchasing, using, reselling, or benefiting from Akountify’s services, you confirm that:

• You have read and understood this Agreement

• You are legally bound by its terms

• You waive the right to hold Akountify liable for third-party platform actions

• You accept all associated risks and limitations

This Agreement is enforceable whether accepted digitally or physically signed. Continued usage of our services constitutes full legal acceptance of these terms.
